Registration of new companies

“Global Consulting Group” provides comprehensive legal support for registering limited liability companies (LLCs) in Azerbaijan
for foreign individuals and legal entities. We also assist with the acquisition of already registered Azerbaijanian companies.
Our goal is to ensure full legal assistance throughout the company formation process, including the option of remote registration under a power of attorney. We handle the preparation of incorporation documents, submission to the state registrar, tax registration, and, if required, support with opening a bank account, obtaining a work permit, and other administrative procedures.
 
 Key Requirements for LLC Registration
Founders. A company may be established by one or more founders – either individuals or legal entities, including foreign nationals or companies.
Share Capital. The minimum share capital is 1 Azerbaijanian manat (AZN). However, we recommend determining a higher amount that reasonably covers the company’s startup needs. The share capital must be paid in within six months from the registration date.
Director. The director must be a natural person. A foreign citizen may serve as director only after obtaining a work permit in Azerbaijan.
Legal Address. Every company must have a registered legal address in Azerbaijan.
Timeframe. The registration timeline depends on the company structure and readiness of documentation. On average, the process takes 7 to 20 business days.
Taxation
Corporate income tax: 20%,
Simplified tax system: For companies with annual turnover up to €120,000 — single tax rate of 2-5% (subject to eligibility),
VAT: Standard rate is 18%,
 Accounting and Reporting
All companies registered in Azerbaijan are required to maintain accounting records and submit financial reports in accordance with national standards. Minimum reporting includes a balance sheet and profit and loss statement.
